AI Booking Assistant Terms

These AI Booking Assistant Terms are service-specific business-to-business terms that apply to a Client’s access to and use of (a) any AI-powered booking assistant or similar guest-facing AI feature provided by Reslify (the “AI Assistant”) and (b) Reslify’s AI-assisted menu-import feature (“AI Menu Import”). The AI Assistant and AI Menu Import are referred to together as the “AI Features.”

1. Scope

The AI Assistant may help a Client’s Guests explore availability, venue information, menus, offers, experiences, policies, and booking options. It is designed to support the booking journey and improve the guest experience.

The AI Assistant may propose draft booking details or actions, but the booking flow remains the source of truth. No reservation, hold, payment, experience selection, add-on, or other booking-impacting action is completed unless the applicable confirmation is completed through the booking flow.

2. Customer Responsibility

The business customer using Reslify (“Client” or “Venue”) is responsible for the accuracy, completeness, and legality of the information it provides or configures in the Services, including menus, prices, policies, availability, descriptions, images, offers, and venue rules.

The AI Assistant may generate responses based on information provided by the Client, information available in the Services, and related system instructions.

Reslify provides the core Guest-facing notice identifying the AI Assistant as an AI system in the Reslify-controlled interface. Client remains responsible for any additional Guest-facing notices, permissions, human review, or confirmation process required by applicable law for Client’s configuration and use of the AI Assistant.

3. No Guarantees

The AI Assistant may produce incomplete, outdated, or inaccurate responses.

AI Feature output is not legal, medical, allergy, safety, tax, financial, or professional advice. Client remains responsible for ensuring that its Guest-facing information and processes direct Guests to the Venue for important questions, including allergies, dietary restrictions, accessibility needs, payment issues, refunds, cancellations, or special requirements.

4. Venue Control

The Venue remains responsible for managing reservations, confirmations, cancellations, refunds, guest communications, and the services provided at the venue.

The AI Assistant does not make final decisions on behalf of the Venue. The Venue remains responsible for its booking and service decisions, and an action is completed only when the applicable confirmation is made through the booking flow.

5. Client Guest-Facing Transparency

Reslify identifies the AI Assistant to Guests as an AI system through a clear, visible, and non-configurable notice before a Guest can send it a message. Client must not remove, obscure, or misrepresent that notice and remains responsible for any additional notices required by Client’s configuration or applicable law.

6. Data Use

Reslify processes personal data in connection with AI features as described in its Privacy Policy and, where applicable, the Data Processing Addendum.

Reslify does not use Client Personal Data or Client Content processed on behalf of a Client to train or fine-tune a generalized AI model that is not deployed solely for that Client’s use, unless the parties expressly agree otherwise in writing.

Client must not configure or use the AI Assistant to solicit unnecessary Sensitive Data, including health or allergy information, and must provide appropriate Guest-facing directions for important allergy, accessibility, safety, payment, cancellation, refund, and special-requirement questions.

Reslify does not use Client booking data processed on behalf of a Client to independently market to that Client’s Guests.

7. AI Menu Import

7.1 Function and draft status

AI Menu Import allows an Authorized User to upload a menu file or image so that Reslify can extract and structure information such as menu names, categories, item names, descriptions, prices, currency information, dietary or source labels, and related menu content. AI Menu Import is an administrative tool for Clients and is not a Guest-facing booking assistant.

AI Menu Import output is an automatically generated draft. It is not published or treated as approved menu content unless an Authorized User reviews the draft and takes the applicable action in the Services to save, import, or publish it.

7.2 Files sent to OpenAI

To provide AI Menu Import, Reslify sends the uploaded menu file or image and information necessary to process it to OpenAI OpCo, LLC in the United States. This may include the file name and type, image or document content, extracted text, and generated structured menu information. OpenAI processes this information on Reslify’s behalf as described in Reslify’s Privacy Policy and Data Processing Addendum, including its Subprocessor List. Under OpenAI’s standard API data controls, API inputs and outputs may be retained in abuse-monitoring logs for up to thirty (30) days unless a shorter approved retention control applies, and may be retained longer where OpenAI is legally required to do so. OpenAI states that business/API data is not used to train or improve generalized OpenAI models by default unless the customer affirmatively opts in. Unless otherwise expressly agreed in writing with Client, Reslify does not use or share Client Personal Data or Client Content processed through AI Menu Import to train, fine-tune, or improve any generalized artificial intelligence model.

Client must not upload payment-card information, authentication credentials, unnecessary personal data, Sensitive Data, confidential third-party information that Client is not authorized to disclose, or other information that is not reasonably necessary to create or update the applicable menu.

7.3 Client authority and responsibility for uploaded material

Client represents and warrants that it has all rights, permissions, notices, and lawful bases necessary to upload and process each menu file or image through AI Menu Import and to use, edit, publish, and display the resulting menu content through the Services.

Client is responsible for the legality, accuracy, quality, and completeness of the uploaded material and for ensuring that it does not infringe third-party intellectual-property, privacy, confidentiality, publicity, or other rights.

7.4 Mandatory Client review

AI Menu Import may misread, omit, duplicate, mistranslate, misclassify, or incorrectly structure information. Before saving, publishing, displaying, or otherwise relying on imported content, Client must review and verify all generated output against the source material, including:

  • item and category names;
  • descriptions and ingredients;
  • prices, currencies, taxes, fees, and quantities;
  • allergens, dietary information, additives, warnings, and legally required disclosures;
  • availability, options, modifiers, and other commercial terms; and
  • language, formatting, images, and source or origin labels.

Client remains solely responsible for the final menu and for correcting or rejecting inaccurate output before it is made available to Guests or used in Client’s business. AI-generated labels or descriptions must not be treated as a substitute for Client’s own food-safety, allergen, regulatory, or professional review.

7.5 No guarantee of extraction accuracy

Reslify does not guarantee that AI Menu Import will identify every item or field, preserve the source layout, or produce complete, current, error-free, or legally compliant output. To the maximum extent permitted by applicable law, Reslify is not responsible for losses, Guest claims, pricing errors, allergen or dietary misstatements, omitted disclosures, or other consequences resulting from Client’s publication or use of AI-generated menu content that Client did not properly review and verify. The limitations and exclusions of liability in the Main Services Agreement apply.

7.6 Retention and saved menu data

AI Menu Import source files and associated import-job records stored by Reslify are scheduled to expire after up to seven (7) days. This seven-day period does not govern OpenAI’s separate API abuse-monitoring retention described in Section 7.2. Menu content that an Authorized User reviews and saves becomes Client Data in the Services and is retained in accordance with Client’s instructions, the Main Services Agreement, and the Data Processing Addendum. Client should retain its own authoritative source copy and must not rely on AI Menu Import as a document-storage or backup service.

8. Misuse

Clients must not use the AI Features to generate, extract, import, publish, or distribute unlawful, misleading, discriminatory, harmful, or deceptive content; to make decisions based on sensitive personal characteristics; to circumvent booking-flow or menu-review confirmation controls; or to violate applicable laws, Reslify’s Acceptable Use Policy, or third-party rights.

9. Changes and Availability

Reslify may update, modify, limit, suspend, or discontinue AI features from time to time, including for legal, security, operational, or product reasons.

10. Relationship with Other Terms

These AI Booking Assistant Terms form Service-Specific Terms under the Main Services Agreement and apply together with the Data Processing Addendum, Acceptable Use Policy, Intellectual Property Policy, and other applicable Agreement Documents. Guest-facing use of the AI Assistant is addressed separately in the Guest Terms and Privacy Policy.
